Arsenal's AGM took place today and as usual Arseblog had a roving reporter on the scene. Here's what happened.

Generally the meeting was very pro-board and anti-selling out to Usmanov. Plenty of comments from smaller shareholders about how we mustn't sell to someone so 'inappropriate', how we want to keep Arsenal Arsenal etc etc

In rough chronological order....

- The AGM commenced with issue of share ownership. PHW said the board is committed to the development and stability of the club and had entered into a new lockdown agreement with no disposal pre 2009, and after that date for two more years they have agreed they will only sell to others on the board and related parties (eg family). - Keith Edelman then gave an overview of financial progress, which obviously has already been widely covered. His basic message was AFC intends to reinvest profits and surplus cash into the team and fixed assets which strengthen the club in the long run.

He talked about 'The Emirates Effect'
- The extra revenue benefit compared to Highbury is £55.1m
- The extra costs eg staff, utilities, stewards, police, maintenance, interest (which was £12.8m) comes to a total of £20.2m
- Hence the increase in profit and cash is c. £34m
- AFC stadium turnover was more than Spurs and Newcastle's entire turnover in the previous financial year
- AFC wage bill last year was £89.7m, Man Utd's £85m and Spurs' £40.7m

KE then said AW had committed himself to the club until 2011 (sustained applause)

PHW then asked if there were any questions on the accounts. No-one stood up so he gave a story about his father who once asked for questions on the finances to which someone said "Why do you keep playing that bloody fool McCulloch at left back?" General "heh" from the floor

Fizsman and Edelman were then voted in again as directors as part of standard AGM resolutions. Both received applause.

There were then some pre-asked questions, and PHW read out prepared answers:

On tickets there are no firm assurances on price rises but they are "not intending any massive increases"

Someone asked about naming rights for the stadium and kept pressing Hill-Wood on what the board will do when the Emirates contract runs out. Eventually PHW said "They run out in 2021 and I'm not going to be standing up here then so that'll be someone else's problem"

There were some questions about what all non-board shareholders can do collectively to prevent a takeover

There also was a question on dividends. PHW said they couldn't absolutely rule out dividend payments forever... a dividend might be an option in the future if the financial position of the club and development of the team allowed it (I guess similar to what used to happen at Man Utd pre-Glazer)

After these questions came AW's presentation...

A bronze bust of AW was unveiled by Annie Wenger, made in recognition of his contribution to the club not just on the pitch, but elsewhere with stadium and London Colney etc. Cue a long standing ovation for Le Boss

These are some of his comments

"This is too big an honour"

"I've been here 11 years now... sorry we could not win every game"

"The club showed a lot of faith in me when I joined but now they cannot get rid of me"

"I have not extended my contract to see the end of the M1 roadworks but because I want to share with all the fans my vision for the team. This team has a long way to go, competition is high but it looks a promising, young team. How good you become is decided by how much you want it"

"The numbers (in the accounts) are boring to read about but they are good"

"The young English generation we have coming through is very promising, though they are too late to save the team last night (heh). We should have a good mixture with players from abroad and locally in years to come"

"You want to be the best in the world, that is what you want to achieve"

"Under pressure we have always been strong. This year we have been strong under fire in this club. I hope this quality remains at the club"

Finally at the end of the meeting as PHW was wrapping up a friend of David Dein's stood up and said he found it very disappointing DD had received no recognition at the meeting "After all without DD there would have been no AW" etc. There was a small smattering of applause. PHW apologized for the omission and said he was fully aware and appreciative of DD's contribution to the club.

That was pretty much it and everyone buggered off to have tea and biscuits next door. What kind of biscuits we just don't know.

The friend of David Dein is Alex Fynn, who is a football consultant and also has written a number of football and marketing related books (including the Glorious Game with Kevin Whitcher). I bumped into him on the platform of Drayton Park station after the AGM (as, coincidently, I had last year) and he said that although he is a friend of DD's he had not spoken to him for some time. When I said that I used to be a big fan of Dein's but was disappointed about his recent actions he agreed with my sentiment.
My feeling is that he is not a trouble maker but just wanted the board to recognise Dein's work, most notably (and he did say this at the AGM) the appointment of Arsene Wenger. I don't think that is unreasonable. The report of the AGM is spot on but Arsene did make one very salient point. A premiership game is watched by a minimum of 500 million people around the world, and sometimes it will have up to one billion viewers. It is therefore important for Arsenal to offer an attractive package to stop these viewers watching the likes of Inter Milan or Barcalona, and the resulting income in years to come could be mindboggling.

One thing not mentioned was that PHW (eventually) agreed to help the Arsenal Supporters Trust find a partner to run a share save scheme.

THIS IS IMPORTANT because if it gets off the ground it will allow supporters to invest in the club without having to stump up £10k a share. Investors will own parts of shares depending on how much they put in.

You don't need to be a genius to work out that if no one sold their shares, then Usmanov would not be able to increase his stake. Every day at least four or five individually owned shares are traded on the PLUS market (search for AFC on www.plusmarketsgroup.com). If these were owned by supporters via the AST, then the liklihood that they'd be sold would be far lower.

Also, Alex Fynn has written two fine books on the differences between us and Sp*rs - The Great Divide and Heroes and Villains. Highly recommended despite his unseemly outburst yesterday.

We do significantly overpay our players. There is no way Armand Traore should be on £15,000 a week; same for Denilson.

Alex Fynn, who stood up at the end and talked about DD, wrote a book called The Great Divide. It's about the differences between Arsenal and Spurs. It's a good read.

Well, the bust is all well and good and all that, but you have to seriously question the wisdom of the board, don't you?

I mean, William H. Macey was fabulous in E.R and Fargo and a host of other films, but has he won 3 League titles, 4 FA cups and steered Arsenal to within 15 minutes of winning the European Cup playing some of the most breathtakingly attractive football the world has ever seen??

Never mind Arsene, we still love you even if the board would rather commemorate a fine American character actor than the finest football coach of the modern era...

I would imagine we pay higher wages to young players than any other club, this will secure them on long term contracts. If you compare our wage buget AND transfer buget with any other club in the top half of the table we wold probably come out on top!

The AGM and financial accounts are for the financial year relating to last season. Therefore, this would have included the salaries of Henry, Ljungberg and Baptista (potentially large considering he was a Real Madrid £14m signing on loan).

So from this c£90m we can deduct £5m for henry (£100k a week), £3.5m for Ljungberg (£70k per week) and £2m for Baptista (£40k per week), which I think are reasonable assumptions. That brings it down to c£80m, which is about 50% of our footballing revenues - I think the Deloitte / Premier League annual report recommends a wage/revenue max percentage of c.65%. While Denilson and others will have signed new contracts, we also saved salaries of several other fringe players such as Aliadiere, Muamba etc.

Similarly, Man Utd's wage bill of £85m will exclude the subsequent impact of buying Hargreaves, Tevez (who both would have commanded high salaries at Bayern and newly-monied West Ham respectively) and on the two youngsters bought for a combined £30m, who undoubtedly are on a nice little earner.

I don't think we overpay our youngsters btw. Not when they're performing like veterans.

Blogger, with all due respect we have been good payers for a number of years now. Keith Edelman was keen to stress (with a rather unsubtle dig to any potential owners) that the high wage bill, second only to Chelsea, was a reflection of the directors' desire to invest in the team as opposed to taking money out of the club with the likes of dividends etc. Surely it is better to retain quality players that were acquired cheaply, e.g. Cesc, than pay huge transfer fees for relatively average players e.g Owen Hargreaves, Darren Bent. Although it is too early to say whether Denilson is worth what he is paid, it is surely worth the gamble in order to keep him at the club rather than paying £10 million or so for a player who maybe no better.
Do appreciate that next year's wage bill will reduce due to the sale of a number of high wage earners but who could begrudge the likes Kolo a nicely paying contract, especially when he arrived for next to nothing.
